Registered Agent GOES SILENT! SEC Subpoena Ignored!

U.S. Securities and Exchange Commission Litigation Release No. 26362, dated July 29, 2025.

The SEC is seeking a court order to compel Rabindranauth Persaud, a registered agent for RRTP Consulting Services, LLC, to comply with subpoenas. Persaud failed to produce requested documents and appear for testimony related to an SEC investigation into potential securities fraud, including undisclosed trading of investor funds.

In Plain English

Imagine the SEC is like a detective investigating a potential problem with a company. They asked a person named Rabindranauth, who helps companies with paperwork, to share some information and answer questions. He didn't. So, the SEC is now asking a judge to order him to cooperate, just like a teacher might ask a student to hand in their homework.

Disclaimer: all facts are drawn from the SEC's own filings; the claims described are allegations unless and until a court rules or the parties settle, and some cases end in dismissal.

How the Alleged Scheme Worked

  1. Company Under Investigation The SEC began investigating RRTP Consulting Services, LLC, a Brooklyn-based company. The investigation, titled 'RRTP Consulting Services, LLC (Internal File No. NY-10882)', was formally ordered on September 18, 2024.
  2. Potential Fraudulent Activity The SEC is looking into whether RRTP, its associates, or other individuals, including Rabindranauth Persaud, violated anti-fraud laws. This includes allegations of undisclosed trading of securities using money from investors.
  3. Identifying a Key Witness During an interview on August 8, 2024, Rabindranauth Persaud identified himself as the owner of RRTP and is listed as its registered agent. His home address is also listed as RRTP's address.
  4. Issuing a Document Subpoena On October 2, 2024, the SEC issued a subpoena to Persaud demanding specific documents. These included lists of companies he owns, invoices for services, client identities, details of services provided, bank and brokerage statements, and agreements related to securities trading.
  5. Attempt to Quash Subpoena Persaud filed a motion to quash the document subpoena on November 1, 2024. However, on March 17, 2025, the court denied this motion, stating it lacked subject matter jurisdiction over the request.
  6. Refusal to Comply Despite the court's denial, Persaud informed the SEC on November 20, 2024, that he would not produce any documents. He reiterated his refusal to cooperate on May 27, 2025, stating he 'won’t be coming in for a verbal interview.'
  7. Issuing a Testimony Subpoena On May 14, 2025, the SEC issued a second subpoena, this time requiring Persaud to appear for sworn testimony on June 13, 2025, as part of the RRTP Investigation.
  8. Further Non-Compliance Persaud claimed to be out of the country for the testimony date. Although the SEC offered to find alternative dates, he later stated he would not appear for a 'verbal interview,' indicating a continued refusal to cooperate.
  9. SEC Seeks Court Enforcement As of July 24, 2025, Persaud had not produced any documents or appeared for testimony. The SEC filed an application in the U.S. District Court for the Southern District of New York seeking an order to compel Persaud to comply with both subpoenas.

The Enforcement Action

The Securities and Exchange Commission filed a subpoena enforcement action against Rabindranauth Persaud, the registered agent for RRTP Consulting Services, LLC. Persaud failed to produce documents and appear for testimony as required by SEC investigative subpoenas. The SEC is seeking a court order directing Persaud to comply with the subpoenas. The SEC's investigation into potential violations of antifraud provisions by Persaud and RRTP is ongoing.
